The role of Corporate Governance is to protect and advance the interests of your organisation by providing the structure through which your objectives are set and met.

Poor Corporate Governance exposes a company to existential and operational risk and its directors and management to personal risk.
In the UK, all company directors are bound to meet the Corporate Governance requirements of the Companies Act 2006. The principal responsibilities of a director (whether executive or non-executive) and thus of the Board, are set out in Section 172.
